Terms of Service

1. Acceptance of Terms

By accessing or using the Kerios AI platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Kerios AI provides an AI-powered business operations platform that deploys autonomous AI departments (sales, marketing, support, finance, and others) to help companies automate routine work and scale their operations.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send spam, phishing, or unsolicited communications
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without written permission

5. Your Data

You retain all ownership rights to your data. We do not claim ownership of content you create or upload. You grant us a limited license to process your data solely for the purpose of providing the Service. We never use your data to train AI models.

6. AI-Generated Outputs

The AI departments generate outputs (emails, reports, analyses, etc.) based on your data and instructions. You own these outputs. However, AI outputs may contain errors or inaccuracies. You are responsible for reviewing and approving any AI-generated actions before they are executed externally (e.g., sending emails, publishing content).

7. Payment and Billing

• Subscription fees are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• We may change pricing with 30 days written notice
• Failure to pay may result in suspension or termination of your account

8. Cancellation

You may cancel your subscription at any time with 30 days notice. Upon cancellation, we will provide a full export of your data and configurations. Your access continues until the end of the current billing period.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime or service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, Kerios AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Kerios AI from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law principles.
